Service Areas

Corporate Transactions & Securities
We represent both emerging and established businesses in their most important business transactions, from start-up through initial public offerings, mergers and acquisitions and beyond. We represent our clients in large and complex national and multinational acquisitions and joint ventures. Our securities practice includes initial public offerings and other public debt and equity offerings representing both issuers and underwriters. We advise venture capitalists, private equity investors and management groups on a full range of private securities transactions.

Customs & International Trade
We advise domestic and foreign clients on a broad range of federal laws and programs affecting imports and exports. In the area of import law, we counsel clients on the full range of entry and admissibility issues and preferential trade programs such as NAFTA. With respect to exports, we have extensive experience with the various export control regimes. We work closely with clients to develop and implement comprehensive import and export compliance programs. We also represent clients in WTO dispute settlement proceedings, in unfair trade proceedings and in anti-boycott and Foreign Corrupt Practices Act matters.

Real Estate
We represent clients in all segments of the real estate industry nationally and internationally. Our group is organized into four industry practice teams, which mirror the four specific real estate markets we primarily serve: Real Estate Development; Real Estate Investment and Financing; Real Estate Capital Markets; and Corporate Real Estate. We regularly partner with in-house lawyers to provide support and counsel on strategic real estate matters.

Tax
We counsel clients in business transactions and financings, tax controversy, litigation, legislative and regulatory activities, executive compensation and tax planning, international taxation, state and local taxation and foundation and exempt organization matters.

Business Litigation
Unlike many other firms, Thompson Hine has a practice group devoted to business litigation. We represent business clients in corporate control contests, insurance disputes and class actions. We represent financial institutions in matters ranging from securities fraud to ERISA to fiduciary litigation. Thompson Hine is a nationally recognized leader in tax controversies, representing many of the Fortune 250 companies before the IRS and, when necessary, in court. We also represent lawyers (including major law firms) and accountants in professional malpractice matters.

Business Regulation & Government Affairs
We assist clients in understanding and dealing with the wide range of rules, regulations and government policies that affect their day-to-day operations and business strategies. The group is composed of lawyers in five areas: Banking and Financial Services; Communications; Food, Drugs and Medical Devices; Government Contracts; and Insurance Regulation. We regularly represent clients before the state, federal and local agencies that have jurisdiction over these areas of law, including the Federal Reserve Board, FDIC, FCC, FDA, PUCO and State Departments of Insurance.

Labor & Employment
Our lawyers represent private and public employers in employment litigation, workers’ compensation proceedings, immigration matters, collective bargaining and administrative proceedings before the Department of Labor, OSHA, EEOC, NLRB and various state agencies. A large part of our practice is devoted to helping our clients achieve their goals in ways designed to withstand challenges by government agencies, labor organizations and employees.

Commercial & Public Finance
We handle complex commercial finance transactions, public finance, asset securitizations and general bank regulatory law. Our lawyers act as bond counsel and as counsel to underwriters, issuers, placement agents, credit enhancement issuers, trustees and obligors with respect to tax-exempt financings. We represent numerous issuers, including state authorities, counties,
municipalities and school districts.

Intellectual Property
We bring a business-oriented perspective to the protection and enforcement of intellectual property, offering in-depth experience in all aspects of intellectual property including patents, trademarks, copyrights, trade secrets, computer software, internet-related issues, employment relationships and intellectual property litigation. We provide global assistance to our clients by using a network of intellectual property professionals throughout the world with whom we work and communicate on a regular basis. Many of our intellectual property attorneys are registered to practice before the United States Patent and Trademark Office, and most have engineering or scientific degrees or previous experience in industries including electronics, aerospace, automotive engineering, computer science, pharmaceuticals, biotechnology and metallurgy.
